A signed purchase agreement does not settle every tax issue. Tucson Business Brokers Office helps you prepare for a valuation discussion while you identify the tax questions your closing advisers need to resolve.
What the Arizona rule addresses
Arizona law provides for a buyer to retain enough purchase money for covered unpaid taxes until the seller supplies a department receipt or certificate. The statute excludes estate and income taxes from this provision.
The certificate described in this rule is not a promise that every obligation has disappeared. Have your CPA and closing attorney confirm which accounts, taxes and transaction are in scope.
Prepare the file before asking for clearance
Identify the selling legal entity, tax account numbers, proposed closing date and the assets or ownership interests involved. A trade name alone may not identify the taxpayer whose records need review.
Reconcile filed returns with your accounts. Note missing periods, unresolved notices and payments not yet reflected in the records. Correcting a mismatch before closing can be easier than explaining it while funds are held.
- Which tax accounts and periods does the request cover?
- Who will request the certificate and respond to agency questions?
- How will the closing agreement handle a holdback or unresolved amount?
- What evidence must the closing agent receive before releasing funds?
Keep certificate timing separate from sale timing
The statute addresses both final return obligations and the department response to a seller request. Ask your advisers to put the applicable dates on the closing schedule rather than assuming an ordinary filing calendar is enough.
A later deficiency and the buyer protections under a certificate have specific statutory treatment. Do not replace that analysis with a generic statement that the business is tax clear.
A valuation request has a different purpose
You can begin a sale assessment before every closing document is ready. Explain any known issue so the valuation partner understands the proposed transaction. Do not send account passwords or taxpayer identifiers in this website form.
Your accountant may also need to review whether and when you should cancel an arizona tpt license after selling a business. Local licensing deserves a separate check under tucson business license changes when selling a business.
For the operating records, start with your equipment file. Request an assessment using general business details.
